## 1. INTRODUCTION

**1.1** This Acceptable Use Policy ("**AUP**") sets out the rules governing your use of:

- The TruOptim website at truoptim.com and associated subdomains (the "**Website**");
- Interactive tools including the ROI Calculator, Pricing Calculator, and Readiness Assessment (the "**Tools**");
- The Digital Twin Sandbox demonstration environment (the "**Sandbox**");
- Free trial access to the TruOptim Industrial AI Gateway (the "**Trial**");
- Any community features, forums, or user-generated content areas.

**1.2** This AUP supplements and forms part of our [Website Terms of Service](/terms-of-service). Terms defined in the Website Terms of Service have the same meaning in this AUP.

**1.3** By using our Website, Tools, Sandbox, or Trial, you agree to comply with this AUP.

## 3. GENERAL PRINCIPLES

**3.1** You agree to use our services:

(a) **Lawfully**: In compliance with all applicable laws and regulations;

(b) **Honestly**: Without providing false, misleading, or fraudulent information;

(c) **Respectfully**: Without infringing the rights of others or causing harm;

(d) **Fairly**: Without attempting to gain unfair advantage or circumvent limitations;

(e) **Securely**: Without compromising the security of our systems or other users.

**3.2** You acknowledge that TruOptim reserves the right to monitor usage to ensure compliance with this AUP and to protect our systems and users.

## 4. PROHIBITED USES

### 4.1 Illegal Activities

You must NOT use our services for any purpose that is unlawful or prohibited by these terms, including:

(a) Violating any applicable local, national, or international law or regulation;

(b) Facilitating or promoting illegal activities;

(c) Violating export control or sanctions laws;

(d) Money laundering or terrorist financing;

(e) Fraud, identity theft, or impersonation.

### 4.2 Harmful Content and Conduct

You must NOT:

(a) Upload, transmit, or distribute any viruses, malware, ransomware, or other malicious code;

(b) Attempt to gain unauthorised access to our systems, networks, or other users' accounts;

(c) Conduct denial-of-service attacks or actions designed to overwhelm our systems;

(d) Interfere with or disrupt the integrity or performance of our services;

(e) Probe, scan, or test vulnerabilities without our written permission;

(f) Circumvent, disable, or interfere with security features;

(g) Use our services to attack, harm, or disrupt third-party systems.

### 4.3 Abuse of Interactive Tools

**4.3.1 Calculators and Assessments**

You must NOT:

(a) Submit false, misleading, or fictitious information to manipulate results;

(b) Use automated scripts, bots, or tools to submit multiple requests;

(c) Harvest, scrape, or collect data from our tools for competitive intelligence;

(d) Reverse-engineer our calculation methodologies;

(e) Share or publish outputs in a manner that misrepresents TruOptim's offerings;

(f) Use fake email addresses or domains to bypass access controls;

(g) Create multiple accounts to circumvent usage limits.

**4.3.2 Sandbox Environment**

You must NOT:

(a) Attempt to access production systems through the Sandbox;

(b) Use the Sandbox for purposes other than legitimate evaluation;

(c) Store, process, or transmit real industrial data, personal data, or sensitive information in the Sandbox;

(d) Attempt to escalate privileges or bypass access controls;

(e) Use the Sandbox for cryptocurrency mining or other resource-intensive activities;

(f) Share Sandbox credentials with unauthorised persons;

(g) Benchmark or publicly compare Sandbox performance without permission.

**4.3.3 Trial Access**

You must NOT:

(a) Register for multiple trials using different identities or email addresses;

(b) Use trial access for production operations without converting to a paid subscription;

(c) Share trial credentials outside your authorised organisation;

(d) Attempt to extend trial periods through technical manipulation;

(e) Use trial resources for load testing or stress testing without permission;

(f) Start or participate in a trial with no genuine intent or ability to convert to a paid subscription upon trial expiry;

(g) Start or participate in a trial for the purpose of:

- (i) gathering competitive intelligence;
- (ii) learning how the Software works in order to recreate, replicate, or develop a competing product or service;
- (iii) assisting any third party in developing a product or service that competes with the Software;
- (iv) evaluating the Software for purposes of disparagement or competitive benchmarking; or
- (v) any purpose other than genuine evaluation for your own internal business use with intent to subscribe;

(h) Continue using a trial if your organisation has previously evaluated or subscribed to the Software and subsequently cancelled, unless expressly authorised by TruOptim in writing.

**4.3.4 Trial Intent Representation**

By starting a trial, you represent and warrant that:

(a) You have a genuine business need that the Software may address;

(b) You have the authority and budget approval pathway to convert to a paid subscription if the evaluation is successful;

(c) You are not a Competitor (as defined in Section 4.7) or acting on behalf of a Competitor;

(d) You will not share knowledge gained during the trial with any Competitor; and

(e) You understand that trial abuse constitutes fraud and may result in legal action to recover damages.

### 4.4 Intellectual Property Violations

You must NOT:

(a) Infringe TruOptim's or any third party's intellectual property rights;

(b) Use TruOptim's trademarks, logos, or branding without permission;

(c) Copy, reproduce, or create derivative works of our proprietary content;

(d) Remove, alter, or obscure proprietary notices or labels;

(e) Claim or imply false endorsement, sponsorship, or affiliation with TruOptim.

### 4.5 Data and Privacy Violations

You must NOT:

(a) Collect, harvest, or scrape personal data of other users;

(b) Process personal data in violation of data protection laws;

(c) Upload, transmit, or store data you do not have the right to use;

(d) Violate confidentiality obligations or trade secrets;

(e) Use our services to conduct unauthorised surveillance.

### 4.6 Commercial Misuse

You must NOT:

(a) Resell, sublicense, or commercially exploit our free services without permission;

(b) Use our Tools to develop competing products or services;

(c) Use our services to send unsolicited commercial communications (spam);

(d) Advertise or solicit business through our platforms without permission;

(e) Use our services in a manner that competes with or disparages TruOptim.

### 4.7 Competitor Restrictions

**4.7.1 Competitor Definition**

For purposes of this AUP, "**Competitor**" means any individual, company, or organisation that:

(a) Develops, markets, sells, licenses, or distributes products or services that are competitive with, or substantially similar to, the TruOptim Industrial AI Gateway or any TruOptim product;

(b) Provides industrial AI connectivity, industrial data gateway, MCP/Model Context Protocol integration, or OPC UA-to-AI interface solutions;

(c) Is engaged in developing any product or service described in (a) or (b); or

(d) Has announced intention to develop such products or services.

**4.7.2 Competitor Prohibitions**

If you are a Competitor or are employed by, contracted by, or otherwise affiliated with a Competitor, you must NOT:

(a) Access the Website, Tools, Sandbox, Trial, or any TruOptim resources;

(b) Register for any TruOptim account, trial, or evaluation;

(c) Attend TruOptim webinars, demonstrations, or events under false pretences;

(d) Request or receive any marketing materials, technical documentation, or pricing information; or

(e) Engage in any form of interaction with TruOptim for competitive purposes.

**4.7.3 Competitor Disclosure**

If you later become a Competitor or become affiliated with a Competitor after registering for TruOptim services, you must:

(a) Immediately notify TruOptim at legal@truoptim.com;

(b) Cease all use of TruOptim services; and

(c) Delete or destroy all TruOptim materials, documentation, and information in your possession.

### 4.8 Misrepresentation

You must NOT:

(a) Impersonate TruOptim employees, representatives, or affiliates;

(b) Falsely claim to be a customer, partner, or reseller;

(c) Misrepresent your identity, organisation, authority, or qualifications;

(d) Create false urgency or use pressure tactics in communications;

(e) Make false claims about TruOptim's products, services, or capabilities.

## 5. ACCEPTABLE USE OF AI FEATURES

### 5.1 AI Agent Interactions

When using TruOptim products that connect to AI Agents (Claude, Microsoft Copilot, ChatGPT, etc.), you must:

(a) Comply with the respective AI provider's terms of service and acceptable use policies;

(b) Not attempt to manipulate, jailbreak, or circumvent AI safety features;

(c) Not use AI Agents to generate illegal, harmful, or inappropriate content;

(d) Not use AI Agents for automated decision-making in safety-critical applications without appropriate human oversight;

(e) Not share AI Agent outputs in ways that mislead others about their source or reliability.

### 5.2 Industrial Use Responsibility

If you use TruOptim services in connection with industrial systems:

(a) You are responsible for ensuring appropriate safety measures are in place;

(b) You must not disable, circumvent, or override safety interlocks;

(c) You must maintain appropriate human oversight of automated systems;

(d) You must comply with all applicable industrial safety regulations;

(e) You must not use our services for safety-critical functions without independent safety systems.

## 6. COMPETITION AND PROMOTIONAL ACTIVITIES

### 6.1 Annual Improve Competition

Participation in the TruOptim Annual Improve Competition is subject to:

(a) Separate Official Competition Rules published when the Competition opens;

(b) Eligibility requirements specified in those rules;

(c) Fair play and honest representation of results;

(d) Prohibition of fraudulent entries or manipulation.

### 6.2 Promotional Offers

When participating in promotions, discounts, or special offers:

(a) You must meet the eligibility requirements as stated;

(b) You must not abuse, exploit, or game promotional mechanics;

(c) Promotions are subject to availability and may be withdrawn at any time;

(d) One redemption per person/organisation unless stated otherwise.

## 7. CONTENT STANDARDS

### 7.1 User-Submitted Content

If you submit any content to our platforms (including feedback, comments, testimonials, or forum posts), that content must:

(a) Be accurate and not misleading;

(b) Not be defamatory, libellous, or malicious;

(c) Not be obscene, offensive, or inappropriate for a professional audience;

(d) Not infringe intellectual property rights of others;

(e) Not contain personal data of others without their consent;

(f) Not contain advertising or promotional material for third parties;

(g) Comply with all applicable laws and regulations.

### 7.2 Testimonials and Case Studies

If you agree to provide a testimonial or participate in a case study:

(a) All statements must be truthful and based on genuine experience;

(b) Results must be accurately represented without exaggeration;

(c) You must have authority to make statements on behalf of your organisation;

(d) TruOptim will seek your approval before publication of identified testimonials.

## 8. RESOURCE USAGE LIMITS

### 8.1 Fair Use

Our free services (Website, Calculators, Assessments, Sandbox, Trial) are provided for legitimate evaluation and business purposes. Excessive or abusive usage that impacts service availability for others is prohibited.

### 8.2 Rate Limits

We may implement rate limits on:

(a) API requests and form submissions;

(b) Sandbox resource allocation;

(c) Calculator and Assessment usage;

(d) Trial resource consumption.

Attempting to circumvent rate limits is a violation of this AUP.

### 8.3 Storage Limits

Any storage provided (e.g., Sandbox data, trial configurations) is subject to limits. You must not attempt to exceed these limits through technical manipulation.

## 9. MONITORING AND ENFORCEMENT

### 9.1 Monitoring

TruOptim reserves the right to:

(a) Monitor usage of our services for compliance with this AUP;

(b) Investigate suspected violations;

(c) Log access and usage data for security and compliance purposes;

(d) Cooperate with law enforcement where required.

### 9.2 Enforcement Actions

If you violate this AUP, TruOptim may, at its sole discretion:

(a) Issue a warning;

(b) Temporarily suspend access to services;

(c) Permanently terminate access to services;

(d) Remove or disable content that violates this AUP;

(e) Report violations to law enforcement authorities;

(f) Pursue legal action to recover damages;

(g) Disclose information to third parties as necessary.

### 9.3 No Liability

TruOptim shall not be liable for any enforcement action taken in good faith pursuant to this AUP.

## 10. REPORTING VIOLATIONS

### 10.1 How to Report

If you become aware of any violation of this AUP, please report it to:

- Your contact information

### 10.2 Confidentiality

Reports will be treated confidentially. We will not disclose your identity to alleged violators without your consent, except as required by law.

### 10.3 No Retaliation

TruOptim will not retaliate against anyone who reports a violation in good faith.

## 11. SECURITY RESEARCH

### 11.1 Responsible Disclosure

If you discover a security vulnerability in our systems:

(a) Do NOT exploit the vulnerability or access data beyond what is necessary to demonstrate the issue;

(b) Do NOT publicly disclose the vulnerability before we have had reasonable time to address it;

(c) Report the vulnerability promptly to security@truoptim.com;

(d) Provide sufficient detail for us to reproduce and verify the issue.

### 11.2 Safe Harbour

We will not pursue legal action against security researchers who:

(a) Act in good faith;

(b) Follow responsible disclosure practices;

(c) Do not cause harm to users or data;

(d) Do not disrupt our services.

## 12. CHANGES TO THIS POLICY

**12.1** TruOptim reserves the right to modify this AUP at any time. Changes will be posted on our Website with an updated "Last Updated" date.

**12.2** Material changes will be communicated through:

- A notice on our Website
- Email to registered users
- In-product notifications where applicable

**12.3** Continued use of our services after changes constitutes acceptance of the modified AUP.
